Laws related to setting up and operating a successful consulting practice are constantly evolving.  Some of the legal aspects that a consultant needs to be aware of in setting up a business involves selecting the appropriate business entity, preparing organizational documents, obtaining financing, and protecting intellectual property.  Legal aspects in running a successful business include negotiating engagement contracts, handling multi-party agreements, assigning liabilities, and resolving payment disputes.

John Pauciulo, Esq. represents and advises clients with respect to corporate, securities and real estate matters.  John has extensive experience in structuring, negotiating and documenting complex business
transactions, including mergers and acquisitions, corporate finance transactions, real estate acquisition and development projects and private placements of securities.  Prior to entering private practice, John was a staff attorney with the Securities and Exchange Commission's New York office.
