Starting a Business in Pennsylvania: Legal Considerations for Scientists, Consultants, and Entrepreneurs

Abstract: Starting a consulting practice or other small business involves more than simply finding clients and providing services. The decisions made at the outset can have important legal, financial, and practical consequences as the business grows.
This presentation will provide a practical overview of the principal legal considerations involved in starting and operating a business in Pennsylvania, with particular attention to professionals and consultants transitioning from employment or independent work into their own business. Topics will include selecting and forming an appropriate business entity; understanding the differences among sole proprietorships, limited liability companies, and corporations; ownership and governance considerations; contracts and client engagements; protecting personal assets and managing potential liability; insurance considerations; intellectual property and confidentiality; the use of employees and independent contractors; and basic compliance and recordkeeping requirements.
The presentation will also address common mistakes made by new business owners and practical steps that can be taken at the outset to reduce risk and establish a sound legal foundation. The goal is not to turn entrepreneurs into lawyers, but to help them recognize the legal issues they are likely to encounter, understand which matters they can reasonably handle themselves, and identify when professional legal or other advice may be appropriate.
